Ambienta invests in Disano, a leader in energy-efficient professional lighting
- Disano is a leading European professional lighting group, combining strong brands with deep technical expertise.
- The Group’s high-efficiency solutions reduce energy use and emissions in a sector accounting for about 10% of global electricity demand.
- Within the €20 billion European lighting fixtures market, Disano is the second largest professional player in Southern Europe.
Milan/London/Paris/Munich/Stockholm, 14 May 2026 - Ambienta SGR S.p.A. ("Ambienta"), one of Europe’s largest and most established asset managers exclusively focused on environmental sustainability is pleased to announce the acquisition of a majority stake in Disano Illuminazione S.p.A. and its affiliated companies (“Disano” or the “Group”) from the founding family. As part of the transaction, Patrizia Di Sano, daughter of founder Ignazio, will reinvest alongside Ambienta and will assume the role of Chairman, continuing to contribute to the Group's next phase of growth.
Founded in 1957 and headquartered in Rozzano (Milan), Disano is one of Europe's leading manufacturers of professional lighting fixtures, combining nearly seven decades of technical heritage with a distinctive edge in energy-efficient solutions across a broad range of indoor and outdoor applications. The Group offers an extensive portfolio under the Disano Illuminazione and Fosnova brands, serving the industrial, infrastructure, outdoor and commercial segments, with a market reputation built on premium quality and advanced performance.
Unlike most peers, Disano is highly vertically integrated, operating three manufacturing plants in Italy and Spain to deliver highly customised, high‑performance products with short lead times. The Group combines direct operations in Spain and France with 14 representative offices across Europe, the Middle East and North Africa, supporting long‑standing relationships with leading electrical distributors and a strong track record across infrastructure, sports and industrial projects. With a strong and enduring brand, a technically differentiated product range, a well-established market position in the mid-to-high-end industrial and commercial segments, and a well-invested manufacturing platform supported by a workforce of over 600 people, Disano stands out as one of the most compelling assets in the European lighting landscape.
Disano is both a Resource Efficiency and Pollution Control investment under Ambienta’s EIA framework. Lighting accounts for around 10% of global electricity demand, making energy efficiency one of the most powerful levers to reduce energy consumption at industrial and infrastructure scale. While LED technology is now the standard for new installations, the next environmental frontier lies in maximising system efficiency and deploying smart lighting controls that dynamically adjust output based on occupancy, natural light and operating conditions. Disano’s portfolio consistently exceeds market‑average energy efficiency, driven by a sustained commitment to improving lumen‑per‑watt performance. This delivers measurable and durable reductions in energy consumption and associated emissions associated with electricity generation across the installations it serves.
Ambienta has closely followed the professional lighting sector for several years, building deep market knowledge through dedicated research and prior investments in the space, and has tracked Disano within its proprietary database for over a decade. It is this combination of sector expertise and first-hand understanding of Disano's distinctive positioning that informs Ambienta's conviction in the platform's potential. Building on the Group’s strong foundations, Ambienta will reinforce the management team to drive Disano's evolution as a European environmental sustainability champion in the lighting sector, executing a strategy focused on geographic expansion, project channel development and operational optimisation, while pursuing selective M&A opportunities to accelerate growth and value creation in a highly fragmented market.
Giancarlo Beraudo, Partner at Ambienta, commented: “Lighting is one of the most direct and measurable levers for reducing energy consumption across industry and infrastructure, and Disano has spent nearly seven decades building a platform uniquely positioned to drive that transition at scale. The strength of this Group lies in the combination of a genuinely strong brand, a technically superior product range, and a manufacturing base that is difficult to replicate – all in a market with significant room to consolidate. We are proud to partner with Patrizia Di Sano and the management team in this next chapter, with the ambition of building a true European champion in sustainable professional lighting.”
Patrizia Di Sano, Chairman of Disano, added: “Welcoming an investment partner into Disano reflects both our confidence in the company's potential and our ambition to accelerate its next phase of growth. We chose Ambienta because of its deep understanding of our sector, its genuine commitment to sustainability, and its proven ability to support family businesses in realising their full potential – values and capabilities that resonate strongly with how we have always operated. I look forward to this partnership that will take Disano to the next level across Europe and beyond.”
Ambienta was advised by BCG (Commercial), Deloitte (M&A, Financial, Tax and Debt Advisory), LABS Corporate Finance (M&A), Gatti Pavesi Bianchi Ludovici (Legal and Structuring), Legance (Financing) and Ramboll (ESG).
